1. Welcome to BOS!

We’re thrilled to have you using BOS by QuickEasy Software. These terms help keep everything running smoothly, so please take a moment to read them. Throughout these Terms of Use, when we say “we,” “us,” or “our,” we’re referring to Vantage Digital Solution.

2. Your License to Use BOS

We’re happy to grant you a non-exclusive license to use BOS. It’s all yours, but please remember it’s for your individual use—no sharing, copying, or reselling. While you’re welcome to enjoy BOS, please don’t distribute, modify, or use its content for commercial purposes without getting explicit written permission from QuickEasy Software first.

3. Your Responsibilities

We trust you to keep your account details safe and secure. You’re responsible for anything that happens under your account, so please use BOS responsibly. Any unlawful or prohibited activities are strictly off-limits.

4. How We Use Your Data

We collect some usage data—usernames, email addresses, access times, and session durations—to enhance your experience and ensure the system functions optimally. This is also used for billing and performance monitoring. If you request support, our team may temporarily access your business data, solely to resolve issues, under a non-disclosure agreement (NDA). See our Privacy Policy for more info. By using BOS, you agree to this.

5. Our Content is Protected

All content within BOS is protected. Please use it as intended and within the scope of these terms.

6. Billing and Fair Use

BOS is billed monthly in advance by default. Your subscription is based on the number of user licenses. If your user count changes, notify us and we’ll adjust billing. If user numbers exceed paid licenses by more than 10%, we may invoice the difference retroactively.

7. Subscription Renewal and Termination

Your BOS subscription renews automatically. To cancel, give 30 days’ written notice; cancellation takes effect at the end of the current billing cycle.

8. Keeping BOS Up and Running

We aim for constant uptime but may suspend services for urgent maintenance or emergencies. We’ll notify you in advance where possible, but resolving issues will take priority.

9. We’re Here To Help

Support is available Monday–Friday during business hours (SAST), excluding public holidays. We do not close during year-end holidays.

10. Addressing Issues

If you encounter an issue, report it via our support channels. We’ll help troubleshoot and resolve it as promptly as possible.

11. Closing Your BOS Access

If terms are significantly breached and not resolved, we may end access as a last resort—but we’ll try to work with you first.

12. Keeping BOS Updated

We may update BOS or these terms from time to time. Continued use means you accept the updates.

13. Our Commitment to You

We strive to make BOS the best it can be—but it’s provided “as is,” with no guarantees of perfection.

14. Third-Party Software

BOS integrates with third-party tools. You’re responsible for reviewing and accepting their terms.

15. Third-Party Integrations

We are not liable for issues caused by third-party systems integrated with BOS. Please ensure compatibility before integrating.

16. Our Limits of Responsibility

Our liability is limited to the total fees paid by you in the past 12 months.

17. Your Commitment to Us

You agree to indemnify Vantage Digital Solution and QuickEasy Software from any legal issues arising from your misuse of BOS or breach of these terms.

18. Your Data Belongs to You

You retain full ownership of your data entered into BOS. We make no claim to it.

19. Your Information Stays Private

All information entered into BOS is treated as confidential. We follow all applicable data protection laws and notify you of any breaches.

20. Our Rights To What We Create

All intellectual property and new BOS features—whether standard or custom—remain the property of QuickEasy Software.

21. How We Keep BOS Running Smoothly

BOS is hosted on AWS, known for 99.99% uptime. We are not responsible for disruptions caused by AWS but will work with them to resolve issues quickly.

22. Keeping Things Secure

Self-hosting clients will be informed of security risks at least 2 weeks before public disclosure. Cloud-hosted BOS services are patched automatically.

23. Your Ideas for BOS

We welcome feedback and requests, though implementation depends on feasibility and alignment with our roadmap.

24. Upgrading Your BOS

You may request version upgrades. We’ll assist with conversions and fix technical issues. Third-party extensions may incur extra upgrade costs.

25. Resolving Disagreements

We prefer informal resolution. If unresolved, disputes will proceed to arbitration before litigation.

26. Data Integrity

In rare cases where data isn’t saved due to an error, notify us immediately so we can assist in recovery.

27. Our Data Backup Procedure

When hosted by QuickEasy, your BOS instance is backed up daily via AWS. We retain backups for 60 days. Self-hosted users must manage their own backups.

28. Uncontrollable Events

Force majeure events may limit our ability to perform services. We will minimise impact as far as possible.

29. This Is Our Full Agreement

These Terms of Use represent the full agreement between you and Vantage Digital Solution regarding BOS.

30. If Part Of This Agreement Does Not Apply

If any part of these terms is deemed unenforceable, the rest will remain in effect.

31. Applicable Law

These terms are governed by South African law and subject to South African courts.
